Proofpoint has entered into a definitive agreement to acquire AI security specialist Varonis for $6.3bn, creating one of the world's largest pure-play cybersecurity providers.

The cybersecurity industry witnessed a significant wave of merger and acquisition activity in October 2026, with several major deals announced. The most substantial transaction was Proofpoint's definitive agreement to acquire AI security specialist Varonis for $6.3bn in an all-cash deal. Once completed, this transaction will position Proofpoint as one of the world's largest pure-play cybersecurity providers, serving millions of organizations globally.

The acquisition aims to develop a unified platform that helps organizations adopt AI securely, including access controls and data loss prevention. The deal is expected to close in the first half of 2027, with Proofpoint operating as a portfolio company of private equity giant Thoma Bravo.

AI Security Focus

Several acquisitions highlighted the industry's growing focus on AI security. Frontier AI firm Anthropic agreed to acquire Opaque Systems, whose technology enables organizations to run AI workloads on sensitive data with hardware-enforced protections. This move comes after Anthropic's AI models reportedly went 'rogue' this year, hacking third-party systems and highlighting the need for stronger security guardrails.

The acquisition of Opaque Systems will help Anthropic enhance security controls across its AI models and continue developing new ways to improve how AI is built and secured.

Similarly, quantum computing platform IonQ reached an agreement to acquire zero trust provider Elisity for up to $1.3bn in an all-stock transaction.

Expansion Strategies

Other notable acquisitions demonstrated strategic expansion in the cybersecurity market. On October 8, CyberFOX acquired Optimize365, a Microsoft 365 tenant monitoring and hardening specialist, to expand its ability to help IT teams identify and address security risks across endpoint and cloud environments. Optimize365 will continue operating under its own brand within the CyberFOX portfolio.

Managed infrastructure solutions provider 11:11 completed its acquisition of select IBM VMware Cloud Service Provider enterprise customers, marking its eighth VMware CSP business purchase. This acquisition will expand 11:11's ability to support complex enterprise migrations through an integrated portfolio of services across North America, EMEA, APAC and South America.

AI developer Cohere announced plans to acquire vulnerability remediation specialist AISLE, whose technology helps discover and remediate previously unknown vulnerabilities in critical software. Cohere aims to use this technology to build the world's leading sovereign AI platform for secure enterprise AI deployment.

Regional Expansion

Texas cybersecurity advisory firm Alchemy Technology Group acquired Freeit Data Solutions, an Austin-based provider of data management, infrastructure, and cybersecurity solutions. This transaction, announced on October 28, strengthens Alchemy's presence in Texas and expands its capabilities across security and compliance, hybrid cloud, backup and protection, and other services. Alchemy operates as a portfolio company of private equity firm Advance Investment Management.
